1. Acceptance of Terms

These Terms and Conditions ("Terms") govern access to and use of Project Pana (the "Service"), a web-based creative writing and worldbuilding organization platform operated by AXM MATRIX SRL ("we," "us," "our"). By creating an account or otherwise using the Service, you ("User," "you") agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. The Service

Project Pana is a planning and organization tool for writers, designed to help manage stories, characters, locations, timelines, notes, and creative projects. The Service is intended as an organization and worldbuilding workspace, not a manuscript-writing or word-processing tool, and we do not guarantee it will replace dedicated writing software. We may add, modify, or discontinue features as described in Section 11.

3. Eligibility and Account Registration

3.1. You must be at least 18 years old to create an account and use the Service.

3.2. You agree to provide accurate, current, and complete information when registering, and to keep that information up to date.

3.3. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. If you suspect unauthorized access, notify us immediately at contact@projectpana.com.

4. Subscription Plans, Free Trial, and Billing

4.1. Free Trial. New accounts are entitled to a one-time free trial. The standard trial lasts 7 days and may be longer under a promotional offer, as described in Section 4.7. The exact end date of your trial is shown in your account. No payment card is required to start the trial. The trial includes all features except import and export (backup and restore). Each user is entitled to a single free trial; if a trial has already been used on an account (including one that was later canceled or expired), a new trial will not be granted.

4.2. Paid Subscriptions. After the trial ends, continued access to the Service requires an active subscription, billed either monthly or annually at the pricing shown on our pricing page and at checkout. Prices are in US dollars (USD); your bank may apply its own currency conversion fees. Annual billing is offered at a discount to the monthly price, as displayed at checkout. If you subscribe during your free trial, the remaining trial days are kept and your first payment is charged when the trial ends.

4.3. Changing Plans. While your subscription is still in its trial period, you may switch from monthly to yearly billing where this option is shown in your account. The switch keeps the same trial end date, and nothing is charged at the time of the switch.

4.4. Automatic Renewal. Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date, as described in Section 6.

4.5. Price Changes. We may change subscription prices from time to time. We will notify you by email at least 30 days before a new price applies to your subscription, and the new price applies from your first renewal after that notice period. If you do not agree with the new price, you can cancel before that renewal, as described in Section 6, and you will not be charged the new price. Percentage discounts described in Sections 4.7 and 4.8 continue to apply to the new price.

4.6. Taxes. All displayed prices are final and include any value added tax (VAT) or similar tax due. No tax is added at checkout.

4.7. Promotional Offers. From time to time, we may run promotional offers, such as discounts, extended free trials, or access codes. The specific conditions of each offer (eligibility, dates, discount, and duration) are shown on our website, in your account, or at checkout before you subscribe, and form part of these Terms for the subscriptions they apply to. Unless the offer states otherwise:

• only one discount can apply to a subscription, and offers cannot be combined;
• offers are personal, are not transferable, and have no cash value;
• a percentage discount applies to the price in effect at each billing, including after a price change under Section 4.5;
• an offer with a stated end date remains available until that date, and ending an offer for new participants does not affect a discount already applied to your subscription.

4.8. Founding Writer Discount. If your account qualifies for the Founding Writer offer under the conditions shown in your account, and you subscribe before the deadline stated there, your subscription receives a 30% discount for as long as it remains active without interruption, including all renewals and a switch from monthly to yearly billing. The discount ends permanently when the subscription ends for any reason, including a cancellation that has taken effect, a withdrawal under Section 7, or a failed payment that is not resolved. Any new subscription after that is charged at the standard price.

4.9. First-Year Discounts. A discount offered for the first year of a yearly subscription (for example, a Black Friday offer) applies only to the first 12 months. From the first renewal, the standard price applies.

5. Payment Processing

5.1. Payments are processed by Stripe, our third-party payment processor. We do not store your full payment card details; these are handled directly by Stripe under its own terms and security standards.

5.2. By subscribing, you authorize us, through Stripe, to charge your chosen payment method for the applicable subscription fee on a recurring basis until you cancel.

5.3. If a payment fails, we may retry the charge, suspend access to paid features, or downgrade your account, as described in Section 10.

6. Cancellation and Refunds

6.1. Cancellation. You may cancel your subscription at any time from the Profile and Subscription section of your account. Cancellation stops future renewals; you retain access to paid features until the end of the billing period you have already paid for.

6.2. Refunds. Cancellation does not give rise to a refund for the current billing period. If you are a consumer in the European Union, you may withdraw from your subscription within 14 days and receive a partial refund, as described in Section 7.

6.3. Cancellation During the Trial. If you cancel a subscription while it is still in its trial period, you will not be charged.

6.4. No Refund for the Trial. Because the free trial described in Section 4.1 already allows you to evaluate the Service before any payment is taken, no refund applies to the trial period itself.

7. Right of Withdrawal

7.1. If you are a consumer in the European Union, you have the right to withdraw from your subscription contract within 14 days, without giving any reason. The withdrawal period starts on the day the contract is concluded, which is the day you complete checkout. This also applies when your subscription begins with the remaining days of your free trial. Using the free trial without subscribing does not create a contract.

7.2. At checkout, you ask us to start your subscription immediately, within the withdrawal period, by ticking the corresponding checkbox. Because of this request, if you withdraw, you will pay an amount proportional to the days of paid service provided until you informed us of your withdrawal.

7.3. To exercise the right of withdrawal, use the "Withdraw from contract here" option in the Profile and Subscription section of your account, or send us a clear statement by email to contact@projectpana.com. You may use the model withdrawal form below, but it is not mandatory. To meet the deadline, it is sufficient to send your withdrawal before the 14-day period has expired. We will confirm receipt of your withdrawal by email without delay.

7.4. When you withdraw, your subscription ends immediately and you lose paid access right away. If a payment was taken, we will refund the price you actually paid (after any discount) minus the amount for the days already used, no later than 14 days from the day we receive your withdrawal, using the same payment method you used for the initial transaction, unless you have expressly agreed otherwise. You will not incur any fees as a result of the refund. If you withdraw during the remaining days of your free trial, no payment has been taken and nothing is charged.

7.5. Cancelling your subscription is not a withdrawal. A cancellation stops future renewals and keeps your access until the end of the period you paid for, with no refund, as described in Section 6.

8. User Content and Intellectual Property

8.1. Ownership. You retain full ownership of all content you create in the Service, including stories, characters, locations, timelines, notes, and any other material you upload or create ("User Content"). We do not claim ownership of your User Content.

8.2. License to Us. You grant us a limited, non-exclusive license to host, store, back up, and display your User Content solely as necessary to operate and provide the Service to you. We do not use your User Content to train artificial intelligence models, and we do not sell or share it with third parties, except as described in our Privacy Policy.

8.3. Our Content. The Service itself, including its software, design, interface, and branding, is our property or that of our licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, reverse-engineer, or create derivative works from the Service, except as expressly permitted by these Terms.

8.4. Feedback. If you send us suggestions or feedback about the Service, we may use it freely and without any obligation to you.

9. Acceptable Use

You agree not to:

• use the Service for any unlawful purpose or in violation of these Terms;
• attempt to gain unauthorized access to another user's account or to our systems;
• interfere with, disrupt, or place an unreasonable load on the Service's infrastructure;
• upload content that infringes third-party rights (including copyright) or that is otherwise unlawful;
• use automated means (bots, scrapers) to access the Service without our prior written permission.

We may investigate suspected violations of this Section and take appropriate action, including suspension or termination of the account involved.

10. Suspension, Termination, and Inactive Accounts

10.1. We may suspend or terminate your account, in whole or in part, if you breach these Terms, misuse the Service, fail to pay applicable fees, or if required to do so by law.

10.2. You may delete your account at any time from the Profile and Subscription section of your account. Upon deletion, any active subscription is canceled going forward, and your data is retained for a grace period before permanent deletion, as described in our Privacy Policy.

10.3. Inactive Accounts. If your free trial ends without a subscription, or your paid subscription ends, your account and User Content are kept for 120 days. During this period, you can subscribe at any time and regain full access to your content. We will send you email reminders 30, 15, and 7 days before deletion. After 120 days, your account and all User Content are permanently deleted and cannot be recovered.

10.4. Provisions that by their nature should survive termination, including intellectual property, limitation of liability, and governing law, remain in effect after termination.

11. Service Availability and Changes

11.1. We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance, and the Service may occasionally be unavailable as a result.

11.2. We may add, change, or remove features to improve the Service, for security reasons, or to comply with the law. If a change negatively affects your access to or use of paid features in more than a minor way, we will notify you at least 30 days in advance (or as early as possible, if the change is urgently required for security or legal reasons). In that case, you may terminate your subscription free of charge within 30 days of the notice or of the change, whichever is later, and we will refund the unused part of any period you have already paid for.

12. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will meet your specific requirements or be free of errors or interruptions. Nothing in this Section affects your statutory rights as a consumer, including the legal guarantee of conformity for digital content and digital services under applicable law (in Romania, Government Emergency Ordinance no. 141/2021).

13. Limitation of Liability

13.1. To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, or consequential damages, or for loss of data, profits, or revenue, arising from your use of, or inability to use, the Service.

13.2. We are not responsible for loss of User Content resulting from the deletion of your account under Section 10, or from your failure to export your data while export was available to you. Export is not available during the free trial.

13.3. Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim.

13.4. Nothing in these Terms limits any liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or death or personal injury caused by our negligence, to the extent such limitation is prohibited.

14. Privacy and Cookies

Our collection and use of personal data, and our use of cookies, are described in our Privacy Policy & Cookie Policy, available on our website, which forms part of these Terms by reference.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 30 days before they take effect. If you do not agree with the changes, you may cancel your subscription or delete your account before they take effect. If you continue to use the Service after the changes take effect, the revised Terms apply to you. Changes required by law, or changes that only benefit you, may take effect sooner. The "Last Updated" date at the top of this document reflects the latest revision.

16. Governing Law and Dispute Resolution

16.1. These Terms are governed by the laws of Romania.

16.2. Any dispute arising from or related to these Terms or the Service will be submitted to the competent courts of Cluj-Napoca, Romania, unless mandatory consumer-protection law grants you the right to bring proceedings before the courts of your own country of residence.

16.3. If you are a consumer resident in Romania, you may also refer disputes to the alternative dispute resolution (SAL) service of the National Authority for Consumer Protection (ANPC), at reclamatiisal.anpc.ro, without prejudice to your right to bring proceedings directly before a court.

17. Miscellaneous

17.1. Entire Agreement. These Terms, together with our Privacy Policy & Cookie Policy and the conditions of any promotional offer applied to your subscription, constitute the entire agreement between you and us regarding the Service.

17.2. Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

17.3. No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

17.4. Assignment. You may not assign your rights under these Terms without our prior consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

17.5. Force Majeure. We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control.

17.6. Communications. We send you emails related to your account and subscription, such as confirmations, billing notices, trial and deletion reminders, and notices of changes to these Terms. Marketing emails are sent only with your consent, which you can withdraw at any time.
